PRINCETON COUNTRY CLUB WOMEN’S GOLF LEAGUE CONSTITUTION AND BYLAWS

Article I - NAME
The name of this golf league shall be the PRINCETON COUNTRY CLUB WOMEN’S GOLF LEAGUE (PCCWGL).

Article II - PURPOSE
FIRST: To bring women interested in joining together for exercise, camaraderie and competition.
SECOND: To promote and foster among the members a closer bond and fraternity for their joint and mutual benefit.
THIRD: To encourage conformance to the USGA Rules of Golf by creating a representative authority.
FOURTH: To maintain a uniform system of handicapping as set forth in the USGA Handicap System and issue USGA Handicap Indexes to the members.
FIFTH: To provide an authoritative body to govern and conduct league competitions.

Article III - MEMBERSHIP
Section 1. Membership shall be available to all adult women who love the game of golf and are aware of how the game is played. There shall be a least 15 members with a maximum membership of 40.
Section 2. A potential member is welcome to explore membership without obligation by playing as a Guest in any regular league event. Guests are not eligible for prizes.
Section 3. Potential members must be evaluated by an Executive Board Member and must possess the ability to complete the play of all holes and be able to complete a full round of golf by maintaining an appropriate pace of play. Only golfers with a reasonable and regular opportunity to play golf with fellow members and who can personally return scores for posting may be members and receive USGA Handicap Indexes from the club.
Section 4. Membership confers no voice in the operation of any golf courses, clubhouses nor any facilities of the courses.
Section 5. Membership confers no special privileges in connection with any golf course.
Section 6. Memberships in the league are for a calendar year only, with all memberships expiring on December 31st.
Section 7. The fiscal year for the league will be January 1st through December 31st.
Section 8. All membership fees and dues shall be established by the Executive Board from time to time in such amounts as they deem to be adequate to operate and maintain the league. All monies collected shall accrue to the benefit of the membership.
Section 9. In the event that any member of the league shall commit any act which reflects discredit or disrepute thereon or shall refuse or neglect to comply with the rules and regulations adopted by the Executive Board or the duly appointed officers, such member shall be subject to suspension or expulsion after written notice and the right to be heard, by a vote of the majority of the Executive Board at any regular meeting or special meeting called for such purpose even if such meeting is conducted by email.
Section 10. The annual meeting of the PCCWGL shall be held on the last Tuesday in the month of March. The Executive Board shall provide for the holding of such other meetings as may be deemed necessary or desirable.
Section 11. A legal quorum at any meeting shall be a majority of the members present in person or by proxy. Each active member in good standing shall be entitled to one vote.

Article IV – EXECUTIVE BOARD
Section 1. The Executive Board shall consist of the president, vice-president, secretary, treasurer, and the tournament committee chair(s) and they shall exercise all powers of management of the league not specifically excepted by these bylaws.
Section 2. At least five weeks prior to the end of the current golf season, the Executive Board shall seek nominations for officers and committees from the membership. At least three weeks prior to the end of the current golf season, an officer shall submit a list of the nominees to the membership via email and shall post upon the league bulletin board the list of nominees.
Section 3. Voting shall be by oral or written means and those names receiving the greatest number of votes cast shall be declared to be elected.
Section 4. The Executive Board shall meet at such times and places as they may select and a majority of the Executive Board shall constitute a quorum at any meeting.
Section 5. In the case of any vacancy through death, resignation, disqualification or other cause, the remaining Executive Board, even though less than a quorum, may choose to elect a successor by majority vote to hold office for the unexpired term of the Executive Board Member whose place shall be vacant.

Article V - OFFICERS AND COMMITTEES
Section 1. Officers will be elected at the end of the current golf season, as provided above in Article IV. All officers must be members in good standing.
Section 2. The officers shall consist of president, vice-president, secretary and treasurer, and their duties shall be such as their titles would indicate or such as may be assigned to them respectively from time to time.
Section 3. The Executive Board shall authorize and define the powers and duties of all committees. Chair and members of all committees shall be appointed by the president, and the president shall be an ex-officio member of all committees except the nominating committee.
Section 4. The following committees shall be appointed each year, with such other committees as the president may deem necessary or advisable:
Tournament Committee to arrange and schedule with the management of any golf course as necessary, and conduct all intra-league competitions. To referee and decide on all disputes according to the PCCWGL and Princeton Country Club League Rules. Make arrangements for the players to tee-off in an orderly and timely manner, and update and adhere to the Tournament Committee guidelines.
Handicap Committee has the responsibility to establish a fair and proper system of handicaps in accordance with procedures set forth in the USGA Handicap System Manual. All active members must post their scores on a regular basis utilizing the league’s handicap system. Updated handicaps will be provided to all active members through a professional handicapping agency on a regular basis. New members who do not have a certified handicap may speed up the process of obtaining a certified handicap by submitting the scores of five completed rounds of 18 holes. Members who do not post scores within two weeks of play will be notified and asked to bring their posting(s) up to date or they will not be allowed to participate in league activities until compliance.
All other committees – including, but not limited to Birdies/Chips, Putting Pool, Ringers, Luncheon, Tee Times, Sunshine, and Webmaster.

Article VI - AMENDMENTS TO BYLAWS
Section 1. The Executive Board shall have the power to repeal or amend any of these bylaws provided that such action shall not be effective until approved by a majority vote of the members of PCCWGL. Members must be notified either at a scheduled meeting, by mail or electronic mail, one month in advance of a vote to approve proposed amendment/s to the bylaws. Voting on the amendments will take place at the next scheduled meeting or, when inconvenient to convene the membership, voting may take place by mail or electronic mail. A majority vote of league members will decide passage of the amendments.
